As part of becoming a Subscriber, you must accept the Terms, and your continued use of the Services will constitute such acceptance. Subscription to the Services must be for a minimum of twelve (12) months, which provides you access to our Services, as well as the opportunity to purchase additional Services or products that you may require from time to time. Upon acceptance of the subscription by us, your Subscription Account will be created, and you will be able to use the Websites and Services. We will provide you with a log in and password, sent via email to your nominated email address that will result in the formation of contract between you and HazardCo. We may refuse to accept the subscription request of any person or company without giving a reason for such refusal, in which case, you will not be able to access or use the Services<\/span><\/p>\n<p><span style=\"font-weight: 400\">Our Services are available to adults over the age of eighteen (18) years and intended to be used by Subscribers or End Users within New Zealand only. By subscribing, accessing and using our Services, you acknowledge that you are over eighteen (18) years and that you will use our Services within New Zealand only.<\/span><\/p>\n<p><span style=\"font-weight: 400\">You continuously represent and warrant to us that persons and End Users accessing HazardCo, the Websites and Services on your behalf are authorised to do so.<\/span><\/p>\n<p><span style=\"font-weight: 400\">\u00a0<\/span><\/p>\n<p><b>Project Allocations<\/b><span style=\"font-weight: 400\"><br \/>\n<\/span><span style=\"font-weight: 400\">Your Subscription Account may include a specified number of complimentary projects per subscription period (<\/span><b>&#8216;Complimentary Project Allocation&#8217;<\/b><span style=\"font-weight: 400\">). The number of projects included in your Complimentary Project Allocation will be specified at the time of subscription or renewal. Additional projects, in excess of the Complimentary Project Allocation, may be ordered by a Subscriber and will be charged at the rates specified at the time of order.<\/span><\/p>\n<p><span style=\"font-weight: 400\"><br \/>\n<\/span><span style=\"font-weight: 400\">Complimentary Project Allocations:<\/span><span style=\"font-weight: 400\"><br \/>\n<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">must be ordered during the subscription period to which the relevant Complimentary Project Allocation relates between your subscription commencement date and the next renewal date (or between subsequent renewal dates);<\/span><\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">do not accumulate or roll over to subsequent subscription periods; and<\/span><\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">will expire and be forfeited without any compensation to you if not ordered before the end of the relevant subscription period.\u00a0<\/span><\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<ul>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">Complimentary Project Allocations are not transferable and cannot be returned, redeemed for cash or applied as payment towards any amount that is payable to us.<\/span><\/li>\n<\/ul>\n<p>&nbsp;<\/p>\n<p><span style=\"font-weight: 400\">For clarity, &#8216;ordering&#8217; a project means placing an order for the project through the Website or by contacting our Customer Support Team, regardless of whether work on that project has commenced or been completed during the subscription period.<\/span><span style=\"font-weight: 400\"><br \/>\n<\/span><span style=\"font-weight: 400\">Any additional projects ordered beyond your Project Allocation will be charged at the rates specified at the time of order.<\/span><span style=\"font-weight: 400\"><br \/>\n<\/span><\/p>\n<p>&nbsp;<\/p>\n<p><span style=\"font-weight: 400\">Privacy\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400\">You acknowledge and agree that in collecting, soliciting, holding, using and\/or disclosing personal information as part of your use of the Website and Services, you are responsible for complying with Privacy Laws at all times.<\/span><\/p>\n<p><span style=\"font-weight: 400\">You must ensure that at all relevant times you hold all Privacy Approvals required to permit us to provide the Services (including, without limitation, permission from your clients and customers to store their personal information on databases that we host for you or that we need to access in order to provide you the Services). You also agree to pay all applicable fees and charges specified by us (including any third-party fees and charges), late payment fees and all taxes, duties, fees, levies and charges imposed by any authority in relation to your Subscription Account. We reserve the right to vary our prices at any time. Any changes to the price for your Subscription Account will be communicated to you and will not take effect until the next payment is due.<\/span><\/p>\n<p><span style=\"font-weight: 400\">By providing us (or our third party payment gateway providers) with the details of your valid credit or debit card (\u2018Card\u2019), or your bank account details for direct debit (\u2018DD\u2019), you authorise us (or our providers) to charge your Card or raise a DD at the point of time when you purchase additional products or services, and at the start of each payment period for membership fees incurred during that time in relation to your Subscription Account.<\/span><\/p>\n<p><span style=\"font-weight: 400\">All prices are in New Zealand Dollars (NZD) and are exclusive of GST. Promotions and free trials may be subject to terms and conditions which shall apply in addition to, and prevail to the extent of any inconsistency with, these Terms.<\/span><\/p>\n<p><span style=\"font-weight: 400\">\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400\">Cooling-Off Period<\/span><span style=\"font-weight: 400\"><br \/>\n<\/span><span style=\"font-weight: 400\">If you decide to cancel your Subscription Account (and, consequently, the access of any End Users) within thirty (30) days of the Commencement Date (the \u2018Cooling-Off Period\u2019), you may do so by emailing info@hazardco.com or 0800 555 339 to request account closure.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400\">No full or partial refunds will be issued for any termination or cancellation of the Subscription Account outside of the Cooling-Off Period.<\/span><\/p>\n<p><span style=\"font-weight: 400\">We reserve the right to deduct an administration fee of $150.00 (plus GST) from any refunds if there is physical product damage for returned product or difficulty in processing the cancellation of your account.<\/span><\/p>\n<p><span style=\"font-weight: 400\">Automatic Renewal<\/span><\/p>\n<p><span style=\"font-weight: 400\">Twelve (12) months after the Commencement Date, your Subscription Account will be automatically renewed, on an annual basis. We will send you an email to your nominated email address notifying you that your Subscription Account will be renewed, at four (4) weeks prior to the renewal date.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400\">If you do not wish to renew your Subscription Account, you must respond or notify us of this intention via email or phone prior to the renewal date, time being of the essence. This clause is subject to the procedures for Cooling-off Period. If you do not cancel your Subscription Account in the manner set out above, it will be automatically renewed and you will be billed using the same payment details as the previous year.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400\">Termination by You<\/span><\/p>\n<p><span style=\"font-weight: 400\">Should you need to terminate your Subscription Account (and the access of any End Users), you can do so by calling 0800-555-339 or emailing info@hazardco.com to request the closure of your Subscription Account. Termination will take effect at the end of your current minimum subscription period (12 months). No refunds will be issued for any fees, charges, or amounts already paid or owed. If you are paying monthly, you will need to continue paying monthly fees until the end of the minimum subscription period.<\/span><\/p>\n<p><span style=\"font-weight: 400\">If termination is due to a change in these Terms that has a materially detrimental effect on you:<\/span><\/p>\n<ul>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">You must notify us within 14 days of receiving notice of the relevant change;<\/span><\/li>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">Termination will take effect on the date the change takes effect; and<\/span><\/li>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">We will provide a pro-rata refund for any amount paid that covers a period after the change.<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400\">Failure to pay any amount due to HazardCo by the required date will be considered a termination of your Subscription Account by you, without limiting HazardCo\u2019s rights.<\/span><\/p>\n<p><span style=\"font-weight: 400\">If you terminate within thirty (30) days of the Commencement Date, please refer to the Cooling-off Period section above.<\/span><\/p>\n<p><span style=\"font-weight: 400\">Termination\/Cancellation by HazardCo<\/span><\/p>\n<p><span style=\"font-weight: 400\">We reserve the right to terminate your Subscription Account (and accordingly, your ability to access our Services and Product) at any time if you breach the Terms including, but not limited to, defaulting on your payment obligations. On termination, any fees or charges invoiced by us, or which we were entitled to invoice on or prior to the date of termination, but which have not been paid will remain payable. The termination will be without prejudice to either your or our rights and remedies in respect of breach of these Terms by the other, where the breach occurred before termination.<\/span><\/p>\n<p><span style=\"font-weight: 400\">We may cancel your Subscription Account (and accordingly, your ability to access our Services) at any time by giving written notice to you via email. On giving such notice, we will repay any money paid by you for Services not delivered. You represent and warrant on an ongoing basis that you meet these criteria.<\/span><\/p>\n<p><span style=\"font-weight: 400\">You represent and warrant on an ongoing basis that all information you have provided to HazardCo as part of your Registration, whether via or external to the Website is true, accurate, not misleading and complete. You are responsible for ensuring that the information we hold about you is up to date and you agree to notify us promptly of any changes to such information, either via the Website or by emailing info@hazardco.com if you require assistance.\u00a0 You acknowledge and agree that we may cancel your Registration at any time if we consider any information provided is incorrect, misleading, incomplete or inaccurate.<\/span><\/p>\n<p><span style=\"font-weight: 400\">The decision to accept a Registration is in our absolute discretion and we may revoke a Registration at any time. and<\/span><\/li>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">if any part of these Terms is deemed to be invalid, void or unenforceable (including, but not limited to, as an unfair contract term for the purpose of New Zealand Consumer Law), then that part will be severed from these Terms and all parts which are not deemed to be invalid, void or unenforceable will remain in full force and effect.<\/span><\/li>\n<\/ul>\n<p><span style=\"font-weight: 400\">If you constitute a consumer under New Zealand Consumer Law while using the Website or Services, nothing in these Terms is intended to remove your rights under New Zealand Consumer Law, including to statutory guarantees that may apply to the Website or Services.\u00a0 If we are entitled to limit the remedies available to a consumer for breach of such guarantees, we expressly limit our liability to either supplying the affected Services again or paying the cost of supplying the Services again. and<\/span><\/li>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">\u2018Your Content\u2019\u00a0 means the content you upload to our Website or which you choose to make accessible to us in order to access or use our services (and, if you are a Subscriber, it also includes the content uploaded by End Users linked to your Subscription Account).\u00a0 For the avoidance of doubt, it does not include data generated by your use of the Services including QR Code scan data, or any information\/data that we derive from Your Content, provided that information\/data derived from Your Content is aggregated and\/or de-identified so that it cannot reasonably be used to identify an individual or entity.<\/span><\/li>\n<\/ul>\n<h2><b>HAZARDCO \u2013 COMPETITION TERMS AND CONDITIONS<\/b><\/h2>\n<p><span style=\"font-weight: 400\">DEFINITIONS<\/span><\/p>\n<p><span style=\"font-weight: 400\">\u2018HazardCo\u2019 means HazardCo Holding Company Limited and all operating companies controlled by or associated with HazardCo Holding Company Ltd, as well as all brands associated with these entities (including \u201cHazardCo\u201d and \u201cBizPack\u201d).<\/span><\/p>\n<p><span style=\"font-weight: 400\">The \u2018Promoter\u2019 is HazardCo Ltd<\/span><\/p>\n<p><span style=\"font-weight: 400\">\u2018Disqualified Participants\u2019 are all employees of the HazardCo Group of companies and their immediate Families.<\/span><\/p>\n<p><span style=\"font-weight: 400\">\u2018Immediate Families\u2019 include spouses, grandparents, parents, children, and grandchildren, whether by marriage, past marriages, remarriage, adoption, co-habitation or other family extension.<\/span><\/p>\n<p><span style=\"font-weight: 400\">\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400\">ENTRY<\/span><\/p>\n<ol>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">These Promotion or Competition Rules (\u2018the Rules\u2019) apply to the HazardCo Promotion or Competition for regular prizes (collectively the \u2018Promotion\u2019) conducted by means of any medium \u2013 online, radio, print, or a connected device.<\/span><\/li>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">Unless otherwise stated, entry is limited to one (1) per person.<\/span><\/li>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">Entry into the Promotion is deemed to be acceptance of the Rules and confirmation that the entrant has the necessary authority (for example from the bill payer or subscriber to the online platform) to enter the Promotion.<\/span><\/li>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">The Promotion is open to New Zealand Residents over the age of 18 years only. due to equipment or technical malfunction, busy lines, inadvertent disconnection, texts with a mis-spelt keyword, texts to an incorrect shortcode, Force Majeure or otherwise.<\/span><\/li>\n<li style=\"font-weight: 400\"><span style=\"font-weight: 400\">To the fullest extent permitted by law the Promoter will not be liable for any loss or damage whatsoever (including but not limited to
